Premier Energies BESS manufacturing plans have advanced with the execution of a Share Allotment cum Shareholders Agreement for a proposed 12 GWh battery energy storage system manufacturing facility in Telangana. The agreement was signed on 15th October, 2026 by Premier Battery Technologies Private Limited (PBTPL), a wholly owned subsidiary of Premier Energies Limited, RCT Nexor Energy Private Limited and Premier Energies Storage Solutions Private Limited (PESSPL), the joint venture company.

12 GWh BESS Facility Planned in Telangana

The proposed facility will be established at Seetharampur, Telangana, with a total planned manufacturing capacity of 12 GWh. The first phase comprising a 6 GWh plant is expected to be set up in FY 2027-28.

The joint venture will focus on the production and assembly of battery energy storage system products for residential, small-business, commercial, industrial and utility-scale applications. The facility is intended to serve a broad range of energy storage requirements across these segments.

Agreement Defines Joint Venture Structure

The shareholders agreement formalizes the terms governing the joint venture between PBTPL and RCT Nexor Energy (formerly known as RCT Energy India Private Limited), which is part of Germany’s RCT Group.

The agreement follows a binding term sheet signed on September 10, 2026, for establishing Premier Energies Storage Solutions Private Limited as the joint venture company. Under the agreed governance structure, the joint venture company’s board will comprise two nominees of PBTPL and one nominee of RCT Nexor Energy.

RCT Nexor Energy Eligible for 15% Equity Stake

The agreement provides for the milestone-linked allotment of equity shares representing 15% of PESSPL’s issued and paid-up equity share capital to RCT Nexor Energy in four tranches. RCT Nexor Energy also has the right but not the obligation to subscribe for an additional 5% equity interest in the joint venture for cash consideration at the end of Phase I, subject to the agreement’s terms. PESSPL is currently a wholly owned subsidiary of PBTPL. No immediate share issuance has been proposed presently under the agreement.

With the shareholders agreement now executed, the proposed joint venture moves forward under a defined governance and equity framework, with the planned 12 GWh manufacturing facility and its initial 6 GWh phase forming the central elements of the project.
